獨立董事在臉書上或對外批評公司運作缺失，金管會主委顧立雄15日表示，對獨董都能扮演其角色予以肯定；但獨董仍是董事會成員，在董事會表達不同意見，上市櫃公司或金融機構應在會議後二天內，將獨董不同意見進行公告，且公司有發言人制度，獨董仍是不適宜對外「逕自表達意見」。














顧立雄強調，獨董畢竟是董事會成員，負有 Fiduciary duty（忠實義務），董事會開會有很多是業務機密，獨董應在董事會上表達意見，公司要將會議詳實紀錄，若有不同意見，應對外公告，且由發言人發言。














顧立雄是在回應媒體詢問台灣金控獨董陳錦稷近期在臉書及媒體發言，談及台銀呆帳提存與授信品質、台銀證券員工跟單等問題。









但若獨董執意對外發言，是否無法可管？顧立雄表示，不想在個案上被引述相關談話，但「怎麼會沒有」辦法可管。即仍是有相關法令可限制獨董不宜對外逕自表達意見。
